Expert determination is a form of Alternative Dispute Resolution (ADR) where the parties involved are contractually obliged and agree to appoint an independent expert to make a binding decision on specific issues in dispute. Unlike traditional litigation, expert determination offers a more streamlined and industry-specific approach, often conducted in a less formal setting and the appointed expert determines the outcome of the dispute, opposed to a Judge.

An expert determination is usually initiated in one of the following ways:

  • It can be required as the dispute resolution process in a contract or agreement between the parties
  • It can be ordered by a court or tribunal, or
  • The parties to the dispute can agree between themselves to the use of the process.

The expert will:

  • Discuss and agree with the parties the details of the process to be followed, including the nature and effect of the determination;
  • Make orders and give directions to the parties to do or not do certain things;
  • Draw on their professional knowledge and experience to evaluate the submissions and evidence provided by the parties to reach a decision on all matters referred for determination.

Expert Determination Clauses

Dispute resolution clauses in contracts often include an expert determination mechanism to resolve some or all disputes that might arise.  An expert determination clause, like any alternate dispute resolution clause, must prescribe the conduct required of the parties for participation in the process with sufficient certainty in order to be enforceable. It is common for the expert determination clause to state that the person to decide the relevant issue is an expert and not an arbitrator and that the process is that of an expert determination and not an arbitration.

The expert determination clause can specify that the expert determination will be:

  • final and binding;
  • final and binding except in the case of manifest error;
  • final and binding in respect of claims under a specified monetary value; or
  • non-binding.

  • BINDING NATURE OF DECISIONS
    • An expert’s decision becomes, in effect, another term of the contract and the winning party can only enforce it by commencing fresh proceedings for breach of the contractual agreement to be bound by the decision. The reason for making an expert determination non-binding may be to give the parties a guide as to how the dispute might be decided if it was pursued through a binding process with a view to assisting the parties resolve the issue by agreement. There is no necessity to require reasons and if reasons are not required, an expert can fulfil his or her obligation simply by answering the question.
